Important Notice

These Terms of Service constitute a legally binding agreement between you and PaForA Technologies Ltd ("PaForA", "we", "us", or "our"). By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

1Acceptance of Terms

By creating an account, accessing our website at paforatech.co.uk orapp.paforatech.co.uk, or using any of our cybersecurity services, you agree to:

  • Comply with these Terms of Service in their entirety
  • Abide by our Privacy Policy and all applicable laws and regulations
  • Accept responsibility for all activities conducted under your account
  • Acknowledge that we may update these terms from time to time

If you do not agree to these terms, you must not access or use our services.

2Description of Services

PaForA provides a comprehensive cybersecurity platform designed specifically for UK small and medium-sized enterprises (SMEs), including but not limited to:

Security Services

Breach monitoring, vulnerability scanning, threat intelligence, security scoring, and incident response

Compliance Tools

Cyber Essentials certification support, GDPR compliance management, policy templates, and automated reporting

Business Continuity

Business continuity planning, disaster recovery, asset management, and vendor risk assessment

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that may impact their use of the platform.

3Account Registration and Responsibilities

3.1 Eligibility

To create an account, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts
  • Represent a legitimate business or organization
  • Provide accurate and complete registration information

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breaches
  • Ensuring that your account information remains current and accurate

3.3 Account Types

We offer multiple account tiers (Essential, Professional, Premium) with varying features and limitations. Your access to specific features depends on your subscription level. Downgrading your account may result in loss of access to certain features and data.

4Acceptable Use Policy

You agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of our systems, servers, or networks
  • Interfere with or disrupt the integrity or performance of our services
  • Reverse engineer, decompile, or disassemble any portion of our software or services
  • Use automated systems or software to extract data from our services (scraping)
  • Upload or transmit viruses, malware, or any other malicious code
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Share your account credentials with third parties or allow others to access your account

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund and may be reported to appropriate law enforcement authorities.

5Data and Privacy

5.1 Data Processing

Our collection, use, and processing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our data practices as described in the Privacy Policy.

5.2 Your Data

You retain all rights, title, and interest in your data. We claim no ownership rights over any content or data you submit to our services. However, you grant us a limited license to use, store, and process your data solely for the purpose of providing our services.

5.3 Data Security

We implement industry-standard security measures to protect your data, including:

  • End-to-end encryption for data in transit and at rest

Upon termination of your account, we will delete your data within 30 days unless:

  • You request an extension for data retrieval purposes

6Security Responsibilities

While we implement robust security measures to protect our services and your data, you acknowledge and agree that:

  • No system can guarantee complete security against all threats
  • You are responsible for implementing appropriate security measures within your organization
  • You must promptly report any suspected security vulnerabilities or breaches
  • You should maintain regular backups of critical data stored in our system
  • You must use strong, unique passwords and enable multi-factor authentication where available

Important: You are responsible for safeguarding your login credentials, encryption keys, and any other authentication mechanisms. We cannot recover lost passwords or encryption keys.

7Payment and Billing

7.1 Subscription Fees

Our services are provided on a subscription basis. Current pricing is available on our website. All fees are:

  • Quoted in British Pounds (GBP) unless otherwise specified
  • Exclusive of applicable taxes (VAT will be added where required)
  • Billed monthly or annually based on your selected plan
  • Subject to change with 30 days' notice to existing subscribers

7.2 Payment Terms

By providing payment information, you authorize us to charge your payment method for:

  • Initial subscription fees
  • Recurring subscription renewals (unless cancelled before renewal date)
  • Any applicable taxes or additional charges

7.3 Free Trials

We may offer free trial periods for new subscribers. During the trial:

  • You have full access to the selected subscription tier
  • You will not be charged until the trial period ends
  • You may cancel at any time during the trial without charge
  • If not cancelled, your subscription will automatically begin and you will be charged

7.4 Refunds

Subscription fees are generally non-refundable except:

  • As required by applicable law
  • In cases of billing errors or technical issues preventing service access
  • At our sole discretion on a case-by-case basis

7.5 Late Payment

If payment fails or your account becomes past due:

  • We may suspend or restrict access to your account
  • Late fees may apply as permitted by law
  • We reserve the right to terminate your account after 30 days of non-payment

8Intellectual Property Rights

8.1 Our IP

All content, features, and functionality of our services, including but not limited to:

  • Software, code, and algorithms
  • Text, graphics, logos, icons, images
  • Audio and video content
  • Design, layout, and "look and feel"
  • Trademarks, service marks, and trade names

are owned by PaForA Technologies Ltd or our licensors and are protected by UK and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose in accordance with these Terms. This license does not permit you to:

  • Copy, modify, or create derivative works of our services
  • Rent, lease, lend, sell, or sublicense access to our services
  • Remove or alter any proprietary notices or labels
  • Use our services to develop competing products or services

8.3 Feedback

If you provide us with feedback, suggestions, or ideas about our services, you grant us an unrestricted, perpetual, irrevocable license to use such feedback without compensation or attribution.

9Warranties and Disclaimers

9.1 Service Warranties

We warrant that:

  • Our services will substantially conform to the documentation we provide
  • We will provide services with reasonable skill and care
  • We maintain commercially reasonable security measures
  • We target 99.9% uptime, calculated monthly, excluding scheduled maintenance

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS:

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION OBTAINED THROUGH OUR SERVICES.

10Limitation of Liability

IMPORTANT LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAFORA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • BUSINESS INTERRUPTION
  • LOSS OF GOODWILL OR REPUTATION
  • ANY OTHER INTANGIBLE LOSSES

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.1 Maximum Liability Cap

Our total aggregate liability arising out of or related to these Terms or your use of our services shall not exceed the greater of:

  • The amount you paid to us in the 12 months preceding the claim, or
  • £500 (five hundred British Pounds)

10.2 Essential Purpose

These limitations apply even if the limited remedies provided herein fail of their essential purpose. Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.

11Indemnification

You agree to defend, indemnify, and hold harmless PaForA Technologies Ltd, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with:

  • Your access to or use of our services
  • Your violation of these Terms of Service
  • Your violation of any third-party rights, including intellectual property, privacy, or data protection rights
  • Your violation of any applicable laws or regulations
  • Any content or data you submit through our services
  • Any claim that your use of our services caused damage to a third party

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

12Termination

12.1 Termination by You

You may terminate your account at any time by:

  • Cancelling your subscription through your account settings
  • Contacting our support team at support@paforatech.co.uk

Upon cancellation, your access will continue until the end of your current billing period, after which no further charges will be incurred.

12.2 Termination by Us

We may suspend or terminate your access immediately, without prior notice, if:

  • You breach these Terms of Service
  • Your account is involved in fraudulent or illegal activity
  • Your payment method fails or your account is past due
  • We are required to do so by law or regulatory authority
  • We decide to discontinue providing our services (with 30 days' notice)

12.3 Effect of Termination

Upon termination:

  • Your right to access and use our services will immediately cease
  • We will delete your data within 30 days (subject to legal retention requirements)
  • You will receive a final invoice for any outstanding charges
  • Provisions that by their nature should survive (including warranties, limitations of liability, and dispute resolution) will continue to apply

13Modifications to Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will:

  • Update the "Effective Date" at the top of these Terms
  • Notify you via email to your registered email address
  • Display a prominent notice within our services
  • Provide at least 30 days' notice before the changes take effect

Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using our services and cancel your account.

14Governing Law

These Terms of Service and any disputes arising out of or related to these Terms or our services shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

You agree that any legal action or proceeding between you and PaForA for any purpose concerning these Terms or the parties' obligations hereunder shall be brought exclusively in the courts located in London, United Kingdom.

15Dispute Resolution

15.1 Informal Resolution

Before filing any formal claim, you agree to first contact us at legal@paforatech.co.uk to attempt to resolve the dispute informally. We will make a good faith effort to resolve the matter within 30 days.

15.2 Arbitration

If we cannot resolve a dispute informally, either party may elect to have the dispute resolved by binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Additional Provisions

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and PaForA regarding our services.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
